Definitions
- “NanoTech Materials”: Refers to NanoTech Materials, Inc., headquartered at 21401 Park Row Dr., Katy, Texas 77449, the manufacturer and warrantor of the roofing products and systems covered by this warranty.
- “Owner”: The original purchaser or the entity listed as the owner at the time of installation, whose building has the NanoTech roof coating system installed. This may include building owners, property managers, or other entities responsible for the structure.
- “Contractor”: A NanoTech-certified professional responsible for installing the roof system. Only contractors who have completed NanoTech’s rigorous training and certification program are authorized to install systems covered by this warranty.
- “System”: Refers to the complete NanoTech roof coating system, including all specified components, materials, and accessories as outlined in the NanoTech Materials product specifications and installation guidelines.
- “Warranty Period”: The 20-year duration of this warranty, beginning on the date of completed installation and warranty activation.
- “No Dollar Limit (NDL)”: Indicates that there is no monetary cap on the cost of covered repairs or replacements during the warranty period.
- “Leaks”: The actual admission of water through the weatherproofing membrane due to failure of the NanoTech Materials system under normal wear and tear conditions.
- “Weatherproofing”: The ability of the installed NanoTech system to prevent water infiltration under normal weather conditions.
Warranty Coverage
NanoTech Materials warrants to the Owner that, subject to the terms, conditions, and limitations set forth herein, the NanoTech roof coating system will remain free from leaks caused by:
- Manufacturing defects in NanoTech Materials’ products
- Ordinary wear and tear under normal weather conditions
- Workmanship deficiencies in the application of NanoTech Materials’ products by certified contractors
- Ponding water, defined as standing water remaining on the roof for more than 48 hours after precipitation
- UV radiation and normal weathering processes
This warranty covers the cost of repair or replacement, including labor and materials, of defective areas for a period of 20 years from the date of completed installation. There is no dollar limit on covered repairs during the warranty period.
Coverage Details:
- Full system coverage, including all NanoTech Materials components
- Replacement of defective materials and associated labor costs
- Protection against premature weathering and deterioration
- Coverage for seams, flashings, and penetrations when properly installed
- Repair or replacement of damaged insulation if caused by a covered leak
Warranty Activation
To activate this warranty and ensure full coverage, the following steps must be completed:
- Certified Installation: The NanoTech roof coating system must be installed by a NanoTech-certified contractor in strict accordance with NanoTech Materials’ current published specifications and application instructions.
- Full Payment: The entire invoiced amount for materials and installation must be paid in full to both the contractor and NanoTech Materials.
- Warranty Registration: The completed warranty registration form must be submitted to NanoTech Materials within 30 days of installation completion. This form should include:
- Building owner’s information
- Installation address and building details
- Certified contractor’s information
- Installation completion date
- Product and system details, including square footage and specification numbers
- Final Inspection: A NanoTech Materials technical representative must conduct a final inspection and approve the installation. This inspection will verify:
- Proper application of all system components
- Correct mil thickness of the coating
- Proper detailing of all seams, flashings, and penetrations
- Overall compliance with NanoTech Materials’ specifications
- Documentation: Copies of all application records, including daily logs, material usage, and weather conditions during installation, must be submitted to NanoTech Materials.
- Warranty Issuance: Upon satisfaction of all activation requirements, NanoTech Materials will issue the official warranty document to the building owner.
Note: Failure to complete any of these steps may result in denial or limitation of warranty coverage.
Owner Maintenance Responsibilities
To maintain warranty coverage and ensure the longevity of your NanoTech roof coating system, the Owner must adhere to the following maintenance guidelines:

- Limit roof access to authorized personnel only
- Install protective walkways for any high-traffic areas
- Immediately report any suspected leaks or damage to NanoTech Materials
Note: Failure to perform required maintenance may result in voiding of this warranty. NanoTech Materials reserves the right to request maintenance logs and documentation in the event of a warranty claim.
Claims Procedure
In the event of a suspected warranty-covered issue, follow these steps to file a claim:
- Prompt Notification: Notify NanoTech Materials in writing within 30 days of discovering a potential warranty-covered issue. Failure to provide timely notice may result in denial of the claim.
- Claim Submission: Submit a detailed written claim to:

- Warranty number and installation date
- Detailed description of the problem, including date first observed
- Photographs of the affected areas (both overview and close-up shots)
- Building owner’s contact information
- Maintenance logs and inspection records
- Any relevant history of repairs or alterations
- Initial Assessment: NanoTech Materials will review the submitted claim and may request additional information or clarification.
- Site Inspection: Allow NanoTech Materials or its authorized representatives reasonable time to inspect the roof and determine warranty coverage. This inspection will typically occur within 14 business days of receiving a complete claim submission.
- Claim Determination: Following the inspection, NanoTech Materials will provide a written determination of warranty coverage and proposed resolution.
- Repair Process: If the claim is approved, NanoTech Materials will either:
- Arrange for repairs to be made by a certified contractor at no cost to the Owner
- Authorize the Owner to have repairs made by a certified contractor and reimburse the reasonable cost
- Follow-up Inspection: After repairs are completed, NanoTech Materials may conduct a follow-up inspection to ensure proper resolution of the issue.
- Claim Closure: Once repairs are satisfactorily completed and verified, the claim will be closed, and the warranty will continue for the remainder of its term.
Important Notes:
- Emergency temporary repairs to prevent further damage may be made by the Owner without voiding the warranty, provided NanoTech Materials is notified within 3 business days of such repairs.
- NanoTech Materials reserves the right to suspend claim processing if there are outstanding payments due for materials, services, or previous claim deductibles.
- The Owner must provide safe access to the roof for all inspections and repairs.
- Failure to follow this claims procedure may result in denial of warranty coverage.
Limitations and Exclusions
This warranty is subject to the following limitations and exclusions:
- Acts of Nature: Damage resulting from acts of nature, including but not limited to:
- Hurricanes, tornadoes, floods, earthquakes
- Lightning strikes or other unusual weather phenomena
- Fires, explosions, or natural disasters
- Structural Issues:
- Structural defects or failure of the building or roof deck
- Settlement, distortion, or movement of the roof deck or building
- Cracks or openings in the roof substrate
- Improper Use or Maintenance:
- Failure to follow the prescribed maintenance program
- Misuse, abuse, or negligence in maintaining the roof system
- Unauthorized foot traffic or equipment placement
- Storage of materials or equipment on the roof surface
- Unauthorized Modifications:
- Alterations, additions, or repairs not approved by NanoTech Materials
- Installation of equipment or structures without proper flashing
- Changes in building use or purpose without prior approval
- Chemical Exposure:
- Exposure to chemicals, oils, or solvents not approved by NanoTech Materials
- Environmental fallout or overexposure to commercial/industrial pollutants
- Animal fats, grease, or solvents
- Pre-Existing Conditions:
- Any condition existing prior to installation
- Defects in the original substrate or underlying materials
- Aesthetic Issues:
- Color changes, fading, or cosmetic imperfections that do not affect water-tightness
- Accumulation of dirt, debris, or biological growth
- Other Exclusions:
- Damage from adjacent structures or rooftop equipment
- Failure of building components other than the roofing system
- Condensation or infiltration of moisture in, through, or around walls, copings, or building structure
- Any issue not specifically stated as covered within this warranty document
NanoTech Materials reserves the right to void or modify this warranty if any of these exclusions are determined to be the cause of roof system failure.
Transferability
This warranty may be transferred to one successive owner of the building, subject to the following conditions:
- Transfer Request: The current Owner must submit a written transfer request to NanoTech Materials within 30 days of the change in building ownership.
- Transfer Fee: A transfer fee of $500 must be paid to NanoTech Materials to process the transfer.
- Inspection: NanoTech Materials reserves the right to inspect the roof system prior to approving the transfer. Any repairs or maintenance required as a result of this inspection must be completed at the Owner’s expense before the transfer is approved.
- Documentation: The new Owner must receive and acknowledge all warranty documents, maintenance requirements, and historical records related to the roof system.
- Limitations:
- The warranty may only be transferred once during its term.
- The original terms, conditions, and duration of the warranty remain unchanged.
- Transfer does not extend the original warranty period.
- Approval: The transfer is not effective until NanoTech Materials provides written approval and issues updated warranty documentation to the new Owner.
NanoTech Materials reserves the right to deny transfer if the above conditions are not met or if the roof system has not been properly maintained.
Access and Inspection Rights
To ensure the ongoing performance of the warranted roof system, NanoTech Materials retains the following access and inspection rights:
- Periodic Inspections: NanoTech Materials, its agents, employees, and authorized representatives shall have free access to the roof during regular business hours throughout the warranty period to conduct inspections.
- Notice: NanoTech Materials will provide reasonable notice to the Owner prior to conducting any non-emergency inspection.
- Scope of Inspections: Inspections may include, but are not limited to:
- Visual examination of the roof surface, flashings, and drainage systems
- Core samples to verify system composition and condition (NanoTech Materials will repair any areas where samples are taken)
- Thermographic or electronic leak detection scans
- Review of maintenance records and procedures
- Owner Cooperation: The Owner agrees to:
- Provide safe and reasonable access to the roof
- Remove any overburden, equipment, or temporary rooftop structures to facilitate inspection, at the Owner’s expense
- Accompany NanoTech Materials representatives during inspections, if requested
- Inspection Reports: NanoTech Materials will provide the Owner with a written report following each inspection, detailing findings and any recommended actions.
- Emergency Access: In case of a reported leak or emergency, NanoTech Materials shall have immediate access to the roof to assess and address the situation.
Failure to provide access for inspections may result in limitation or voiding of warranty coverage.
Cancellation Conditions
This warranty shall become null and void under the following conditions:
- Unauthorized Repairs or Alterations:
- Any repairs, modifications, or alterations to the roof system made without prior written approval from NanoTech Materials
- Use of materials not manufactured or approved by NanoTech Materials in roof repairs or alterations
- Change in Building Use:
- Any significant change in the use or purpose of the building without prior notification to and approval from NanoTech Materials
- Installation of equipment or structures on the roof that may damage the roofing system or impede drainage
- Failure to Maintain:
- Neglect in performing required routine maintenance as outlined in the Owner Maintenance Responsibilities section
- Failure to address issues identified during inspections in a timely manner
- Unauthorized Access:
- Allowing unauthorized personnel to access, walk on, or perform work on the roof
- Failure to maintain a log of all roof access events
- Non-Payment:
- Failure to pay the full contract price for the original roof system installation
- Non-payment of any subsequent charges related to warranty claims or required maintenance
- Failure to Comply with Warranty Terms:
- Any significant violation of the terms and conditions set forth in this warranty document
- Failure to cooperate with NanoTech Materials in the investigation or resolution of warranty claims
NanoTech Materials reserves the right to cancel this warranty if any of these conditions are met. In the event of cancellation, written notice will be provided to the Owner, and NanoTech Materials will have no further obligation under this warranty.
Legal and Liability Disclaimers
The following legal and liability disclaimers apply to this warranty:
- Sole and Exclusive Remedy: The obligations contained in this warranty are expressly agreed to be the Owner’s sole and exclusive remedy against NanoTech Materials, Inc., its affiliates, and/or employees.
- Limitation of Liability: NanoTech Materials shall not be liable for any incidental, consequential, or other damages including, but not limited to, loss of profits or damage to the building structure or its contents, under any theory of law.
- No Additional Warranties: This warranty supersedes and is in lieu of all other warranties, whether expressed or implied, including any implied warranty of merchantability or fitness for a particular purpose.
- Severability: If any portion of this warranty is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions shall nevertheless continue in full force.
- Governing Law: This warranty shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
- Dispute Resolution: Any controversy or claim arising out of or relating to this warranty, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
- Waiver: NanoTech Materials’ failure to enforce any of the terms or conditions stated herein shall not be construed as a waiver of such provision or of any other terms and conditions of this warranty.
- Integration: This warranty document constitutes the entire understanding between the parties with respect to the subject matter hereof and may not be amended except in writing signed by both parties.
By accepting this warranty, the Owner acknowledges that they have read and understand these legal and liability disclaimers.
